Compare IQ — Purple Koru, Inc.

These Terms of Service ("Terms") govern access to and use of the Compare IQ platform and related services provided by Purple Koru, Inc. ("Purple Koru," "Compare IQ," "we," "our," or "us").
Compare IQ is a software platform operated by Purple Koru, Inc., a corporation organized under the laws of the State of California, United States.

By accessing or using the Compare IQ website or software platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Compare IQ platform.
Relationship to the Master Services Agreement
Customers who have executed an Order Form and Master Services Agreement ("MSA") with Purple Koru access the Compare IQ platform under those governing documents. In the event of any conflict between these Terms and a customer's executed MSA and Order Form, the MSA and Order Form control. These Terms apply to all users of the Compare IQ website and platform and supplement, but do not replace, any applicable MSA.

Acceptance of Terms
By creating an account, accessing the platform, or using the Compare IQ services, you confirm that you have read, understood, and agree to be bound by these Terms.
If you access the platform on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms. In that case, "you" and "your" refer to both the individual user and the organization.
Eligibility and Account Registration
Access to the Compare IQ platform is provided on a direct sales basis and requires a registered user account associated with an executed Order Form and paid subscription. There is no self-service signup path.
You agree to:

Provide accurate and complete account information

Maintain and promptly update your account information

Maintain the confidentiality of your login credentials

Be responsible for all activities that occur under your account
You must promptly notify Purple Koru if you suspect unauthorized access to your account.
Compare IQ is intended for business use and is not designed for use by individuals under the age of 18.
Description of the Service
Compare IQ is a software-as-a-service platform that enables organizations to model, analyze, and compare cloud infrastructure pricing across multiple cloud providers and infrastructure platforms.
The platform generates analytical estimates and comparisons based on user-provided configuration inputs and publicly available pricing information.
Compare IQ provides modeling tools intended to assist users in evaluating potential cloud storage architectures and pricing scenarios.
The platform does not provide financial advice, procurement recommendations, or guaranteed pricing outcomes.
Subscription and Billing
Access to the Compare IQ platform requires a paid subscription under an executed Order Form.
Subscription pricing, billing terms, and renewal conditions are specified in the applicable Order Form. Subscriptions renew automatically at the end of each subscription term unless either party provides written notice of non-renewal in accordance with the notice period specified in the Order Form.
Fees paid for subscriptions are non-refundable except as required by applicable law or as expressly agreed in writing. Purple Koru may adjust subscription fees at renewal with at least sixty (60) days' prior written notice.
User Responsibilities
Users of the Compare IQ platform agree to:

Use the platform only for lawful business purposes

Provide accurate information when creating accounts or submitting configuration data

Maintain the security of account credentials

Ensure that use of the platform complies with applicable laws and regulations

Review and verify any pricing estimates or analytical outputs before making business decisions
Users are solely responsible for decisions made based on information generated by the platform.
Acceptable Use
You agree not to misuse the Compare IQ platform. Prohibited activities include, but are not limited to:

Attempting to reverse engineer, decompile, or otherwise derive source code from the platform

Scraping, harvesting, or extracting data from the platform without authorization

Automating excessive queries or using bots to access the service in ways that disrupt platform operations

Attempting to access accounts, systems, or data without authorization
-
Embedding the platform within another product or service, or otherwise enabling an individual who is not a licensed Authorized User to access the platform's calculation engine (sharing of static Outputs is permitted)

Using the platform to build or operate a competing comparison, pricing, or decision-analysis product or service
-
Violating any applicable laws or regulations while using the service
Purple Koru reserves the right to suspend or terminate accounts that violate these restrictions, following written notice where practicable.
Customer Data, Outputs, and Derived Data
Users may input infrastructure configurations, pricing assumptions, modeling inputs, and other information into the Compare IQ platform ("Customer Data"). Customers retain full ownership of Customer Data.
By using the platform, you grant Purple Koru a limited, non-exclusive license to process Customer Data solely for the purpose of operating and providing the Compare IQ services. Purple Koru does not use Customer Data for marketing, advertising, resale, or any purpose unrelated to delivering the service.

Outputs (cost projections, comparison reports, and other analytical results generated by the platform) are owned by Customer. Customer may use, share, and distribute Outputs, including with its own customers and prospects for advisory and sales purposes.

Purple Koru may collect and use anonymized, aggregated data derived from Customer Data and platform usage ("Derived Data") for internal product development, platform improvement, and the publication of anonymized market trend reports. Derived Data excludes any deal name field and cannot be used to identify Customer, any individual user, or any specific transaction.
Customers are responsible for ensuring that Customer Data is accurate and that they have the right to submit such data to the platform.
Feedback
If you provide Purple Koru with suggestions, ideas, or other feedback regarding the platform, Purple Koru may use that feedback without restriction or obligation, including to develop and improve the platform.
Feedback provided in connection with paid custom development work commissioned under a separate written agreement is governed by the terms of that agreement.
Intellectual Property
All rights, title, and interest in the Compare IQ platform, including software, algorithms, models, analytical tools, interfaces, documentation, and related technology, are owned by Purple Koru, Inc.
These Terms grant users a limited, non-exclusive, non-transferable license to access and use the platform during an active subscription. No rights are granted to copy, modify, distribute, or create derivative works of the platform except as expressly permitted in these Terms.
Platform Availability and Modifications
Purple Koru may update, modify, or improve the Compare IQ platform from time to time. Purple Koru will not materially reduce the core functionality of the platform for active subscribers without reasonable notice.
We do not guarantee uninterrupted or error-free operation of the platform.
Third-Party Services
The Compare IQ platform may rely on or integrate with third-party services or publicly available cloud pricing information. Purple Koru does not control and is not responsible for third-party services, pricing data, or external systems. Use of third-party services may be subject to the terms and policies of those providers.
Results and Pricing Disclaimer
The Compare IQ platform provides comparative analyses, estimates, and informational insights based on publicly available information, platform assumptions, third-party information, and data you provide. Although the platform may identify options or recommendations, all outputs are intended solely for evaluation and planning purposes and do not constitute guaranteed pricing, binding quotations, financial advice, procurement advice, or commitments by any vendor.

Final business, purchasing, configuration, and implementation decisions remain your responsibility.

Public information, pricing, services, availability, discounts, vendor terms, taxes, fees, and other charges may change and may not be fully reflected in Compare IQ results. Customer-provided data is assumed to be accurate and complete. Inaccurate or incomplete inputs may produce inaccurate or incomplete results.

You should independently verify material pricing, service terms, assumptions, and configuration requirements directly with the applicable provider before making a purchasing or implementation decision.
Results may be shared or exported, but Purple Koru, Inc. is not responsible for modifications, omissions, or interpretations made outside the context in which the results were generated.
Disclaimers
The Compare IQ service is provided on an "as is" and "as available" basis. Purple Koru makes no warranties or representations regarding the accuracy, completeness, reliability, availability, or suitability of the platform or its outputs for any particular purpose.
Limitation of Liability
To the maximum extent permitted by law, Purple Koru, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to the use of the Compare IQ platform, including damages related to business decisions made based on platform outputs, inaccurate or incomplete pricing estimates, loss of profits or revenue, or service interruptions.

Purple Koru's total aggregate liability arising out of or relating to these Terms or the Compare IQ platform shall not exceed the total amount of fees paid by the customer during the twelve (12) months preceding the event giving rise to the claim.
These liability limitations do not apply to: (a) either party's breach of confidentiality obligations; (b) intellectual property infringement claims; or (c) a party's gross negligence or willful misconduct. Customers with an executed MSA should refer to the liability terms in that agreement, which control in the event of any conflict.
Indemnification
You agree to indemnify, defend, and hold harmless Purple Koru, Inc., its officers, directors, employees, and affiliates from any claims, damages, losses, liabilities, and expenses arising out of your use of the Compare IQ platform, your violation of these Terms, your violation of applicable laws or third-party rights, or Customer Data or configuration inputs submitted through the platform.
Termination of Service
Purple Koru may suspend or terminate access to the Compare IQ platform if a user violates these Terms, required subscription payments are not made, or continued access presents security or legal risks.

Upon termination, access to the platform ceases. Customers may request an export of Customer Data within thirty (30) days of termination. Provisions that by their nature should survive termination will remain in effect.
Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms shall be resolved in the state or federal courts located in California, and the parties consent to the exclusive jurisdiction of those courts.
Changes to These Terms
Purple Koru may update these Terms of Service from time to time. When changes are made, the updated Terms will be posted on the Compare IQ website with a revised effective date. Continued use of the platform after updated Terms are published constitutes acceptance of the revised Terms.
