These Terms of Service (“Terms”) govern access to and use of the CompareIQ platform and related services provided by Purple Koru, Inc. (“Purple Koru,” “CompareIQ,” “we,” “our,” or “us”).
CompareIQ is a software platform operated by Purple Koru, Inc., a corporation organized under the laws of the State of California, United States.

By accessing or using the CompareIQ website or software platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the CompareIQ platform.
Acceptance of Terms
By creating an account, accessing the platform, or using the CompareIQ services, you confirm that you have read, understood, and agree to be bound by these Terms.
If you access the platform on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms. In that case, “you” and “your” refer to both the individual user and the organization.
Eligibility and Account Registration
To access the CompareIQ platform, you must create a registered user account associated with a paid SaaS subscription.
You agree to:

Maintain and promptly update your account information

Maintain the confidentiality of your login credentials

Be responsible for all activities that occur under your account
You must promptly notify Purple Koru if you suspect unauthorized access to your account.
CompareIQ is intended for business use and is not designed for use by individuals under the age of 18.
Description of the Service
CompareIQ is a software-as-a-service platform that enables organizations to model, analyze, and compare cloud infrastructure pricing across multiple cloud providers and infrastructure platforms.
The platform generates analytical estimates and comparisons based on user-provided configuration inputs and publicly available pricing information.
CompareIQ provides modeling tools to help users evaluate potential cloud storage architectures and pricing scenarios.
The platform does not provide financial advice, procurement recommendations, or guaranteed pricing outcomes.
Subscription and Billing
Access to the CompareIQ platform requires a paid subscription.
Subscription pricing, billing terms, and renewal conditions may be provided through written agreements, order forms, or pricing pages made available by Purple Koru.
Subscriptions may automatically renew unless canceled prior to the renewal date.
Fees paid for subscriptions are generally non-refundable except where required by applicable law or expressly stated in a written agreement.
User Responsibilities
Users of the CompareIQ platform agree to:

Use the platform only for lawful business purposes

Provide accurate information when creating accounts or submitting configuration data

Maintain the security of account credentials

Ensure that use of the platform complies with applicable laws and regulations

Review and verify any pricing estimates or analytical outputs before making business decisions
Users are solely responsible for decisions made based on information generated by the platform.
Acceptable Use
You agree not to misuse the CompareIQ platform.
Prohibited activities include, but are not limited to:

Attempting to reverse engineer, decompile, or otherwise derive source code from the platform

Scraping, harvesting, or extracting data from the platform without authorization

Automating excessive queries or using bots to access the service in ways that disrupt platform operations

Attempting to access accounts, systems, or data without authorization

Using the platform to build or operate a competing service

Violating any applicable laws or regulations while using the service
Purple Koru reserves the right to suspend or terminate accounts that violate these restrictions.
Customer Data and Inputs
Users may input data, configuration parameters, and other information into the CompareIQ platform (“Customer Data”).
Customers retain ownership of Customer Data submitted to the platform.
By using the platform, you grant Purple Koru a limited right to process Customer Data solely for the purpose of operating and providing the CompareIQ services.
Customers are responsible for ensuring that Customer Data is accurate and that they have the right to submit such data to the platform.
Intellectual Property
All rights, title, and interest in the CompareIQ platform, including software, algorithms, models, analytical tools, interfaces, documentation, and related technology, are owned by Purple Koru, Inc.
These Terms grant users a limited, non-exclusive, non-transferable license to access and use the platform during an active subscription.
No rights are granted to copy, modify, distribute, or create derivative works of the platform except as expressly permitted in these Terms.
Platform Availability and Modifications
Purple Koru may update, modify, or improve the CompareIQ platform from time to time.
We do not guarantee uninterrupted or error-free operation of the platform.
Purple Koru reserves the right to modify or discontinue features of the service, provided that such changes do not materially reduce the core functionality of the platform for active subscribers.
Third-Party Services
The CompareIQ platform may rely on or integrate with third-party services or publicly available cloud pricing information.
Purple Koru does not control and is not responsible for third-party services, pricing data, or external systems.
Use of third-party services may be subject to the terms and policies of those providers.
Disclaimers
The CompareIQ platform provides informational modeling and analysis tools only.
Pricing estimates, projections, and comparisons generated by the platform are based on user-provided inputs and publicly available pricing information.
Actual cloud provider pricing, billing, and service charges may differ from estimates generated by the platform.
Users are responsible for verifying pricing and service details directly with cloud providers.
The CompareIQ service is provided on an “as is” and “as available” basis.
Purple Koru makes no warranties or representations regarding the accuracy, completeness, reliability, availability, or suitability of the platform or its outputs for any particular purpose.
Limitation of Liability
To the maximum extent permitted by law, Purple Koru, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to the use of the CompareIQ platform.
This includes, without limitation, damages related to:

Business decisions made based on platform outputs

Inaccurate or incomplete pricing estimates

Loss of profits, revenue, or business opportunities
-
Service interruptions or platform unavailability
Purple Koru’s total aggregate liability arising out of or relating to these Terms or the CompareIQ platform shall not exceed the total amount of fees paid by the customer for the service during the twelve (12) months preceding the event giving rise to the claim.
Indemnification
You agree to indemnify, defend, and hold harmless Purple Koru, Inc., its officers, directors, employees, and affiliates from any claims, damages, losses, liabilities, and expenses arising out of:

Your use of the CompareIQ platform

Your violation of these Terms

Your violation of applicable laws or third-party rights

Customer Data or configuration inputs submitted through the platform
Termination of Service
Purple Koru may suspend or terminate access to the CompareIQ platform if:

A user violates these Terms

Required subscription payments are not made
-
Continued access presents security or legal risks
Upon termination, access to the platform may be discontinued.
Provisions that by their nature should survive termination will remain in effect.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict of law principles.
Dispute Resolution
Any disputes arising out of or relating to these Terms or the use of the CompareIQ platform shall be resolved in the state or federal courts located in California, and the parties consent to the exclusive jurisdiction of those courts.
Changes to the Terms
Purple Koru may update these Terms of Service from time to time.
When changes are made, the updated Terms will be posted on the CompareIQ website with a revised effective date.
Continued use of the platform after updated Terms are published constitutes acceptance of the revised Terms.
